TERMS AND CONDITIONS OF SALE

1. All orders are subject to acceptance by Source Center, Inc. (“SCI”) at its principal office in Mount Laurel, New Jersey. Shipment of products constitutes acceptance. Buyer’s acceptance of delivery constitutes agreement to these Terms and Conditions. These Terms and Conditions apply to all sales unless SCI agrees otherwise in writing.

 

2. Payment terms are as stated on the face of the invoice. Any unpaid balance more than thirty (30) days from the invoice date shall accrue a delinquency charge of two percent (2%) per month (or the maximum rate permitted by law, if less) until paid in full.

 

3. Buyer shall inspect all products upon receipt. Claims for shortages must be made in writing within five (5) days, and all other claims within thirty (30) days, or they are waived. No goods may be returned without SCI’s prior written authorization.

 

4. Subject to the provisions below regarding Product-Specific Terms, Buyer’s sole and exclusive remedy for any claim arising out of or relating to the purchase or use of products shall, at SCI’s option, be limited to replacement of nonconforming product(s) or refund of the purchase price paid for the specific product(s) at issue. Certain products distributed by SCI are subject to additional or different terms, conditions, limitations, and disclosures, including without limitation the PetJet™ Limited Distributor Statement (collectively, “Product-Specific Terms”). In the event of any conflict or inconsistency, the Product-Specific Terms shall control; Buyer acknowledges receipt of, or access to, such Product-Specific Terms and agrees to be bound by them.

 

5. Except as expressly set forth herein or in applicable Product-Specific Terms, SCI is a distributor only and does not manufacture the products sold. SCI expressly disclaims all warranties, whether express, implied, or statutory, including any implied warranties of merchantability or fitness for a particular purpose. Any warranty provided is limited strictly to what is expressly stated. To the fullest extent permitted by law, SCI shall not be liable for any incidental, consequential, indirect, special, or punitive damages, including loss of profits, loss of use, cost of substitute goods, or third-party claims. SCI’s total liability for any claim shall not exceed the purchase price of the specific product giving rise to the claim.

 

6. SCI warrants only that product descriptions reflect the representations made by the manufacturer and makes no independent representations regarding product performance, safety, or suitability.

 

7. These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to conflict of laws principles. Any claim, dispute, or proceeding arising out of or relating to the purchase or use of products shall be brought exclusively in the state or federal courts located within the State of New Jersey, and the parties hereby consent to the personal jurisdiction and venue of such courts.
